In consideration of the Proprietary Information of our valuable Customers, (Capella Enterprises) is committed:

• to hold the Proprietary Information in strict confidence and to take all reasonable precautions to protect such Proprietary Information.
• not to disclose any such Proprietary Information or any information derived there from to any competitor or any other person, firm, or corporation, except when authorized to do so in writing by Customer.
• not to make any use whatsoever at any time of such Proprietary Information except to evaluate internally its relationship with the Disclosing Party.
• that all of the Information will be received and retained for use only in connection with the potential relationship and will not be used directly or indirectly for any other purpose without prior written consent of the Customer.
• to promptly return (upon request) to the Customer any information or material received, together with any and all copies of such information or material.
